PUBLIC AGREEMENT (OFFER)

for the ordering and provision of legal and/or accounting services

This agreement is an official and public offer by the Contractor to conclude an agreement for the provision of legal and accounting services presented on the website https://fatum-pravo.com.ua
This agreement is public, i.e., in accordance with Article 633 of the Civil Code of Ukraine, its terms and conditions are the same for all clients regardless of their status (natural person, legal entity, individual entrepreneur) without giving preference to one client over another.
By entering into this Agreement, the Client fully accepts the terms and conditions of ordering, paying for, and providing legal and/or accounting services, as well as other terms and conditions of this Agreement.
The Agreement is considered concluded from the moment the Client pays for the Contractor’s legal and/or accounting services.

1. Definition of terms

1.1. Public offer (hereinafter referred to as the “Offer”) – a public proposal of the Contractor addressed to an indefinite circle of persons to conclude an agreement with the Contractor for the provision of legal and accounting services remotely (hereinafter referred to as the “Agreement”) on the terms contained in this Offer.
1.2. Service – the subject of the agreement between the parties, which was selected by the Client on the Contractor’s website and formalized by placing an order on the website, or already ordered by the Client from the Contractor remotely.
1.3. Website – the Contractor’s website at www.fatum-pravo.com.ua created for the conclusion of agreements for the provision of legal and accounting services on the basis of the Client’s familiarization with the description of services offered by the Contractor via the Internet.
1.4. Client – a legally capable individual who has reached the age of 18, receives information from the Contractor, places an order for the services presented on the Contractor’s website, or a legal entity or individual entrepreneur.
1.5. Contractor – Limited Liability Company “FATUM LAW FIRM” (identification code 45251739), a legal entity established and operating in accordance with the current legislation of Ukraine, located at: Ukraine, 01133, Kyiv, 32B Konovaltsia Street, office 1002.

2. Subject of the Agreement

2.1. The Contractor undertakes to provide the Client with legal and/or accounting services, and the Client undertakes to pay for and accept such services under the terms of this Agreement.
2.2. The date of conclusion of the Agreement-offer (acceptance of the offer) and the moment of full and unconditional acceptance by the Client of the terms of the Agreement shall be the date of payment by the Client for legal and/or accounting services, after which the Client shall be deemed to have accepted the terms of this Agreement in full. If necessary, at the Client’s request, the Agreement may be executed in writing.

3. Placing an Order

3.1. The Client independently places an order for legal and/or accounting services on the Contractor’s website by filling out the feedback form, or by contacting the Contractor via email or by phone number listed in the contact section of the Contractor’s website.
3.2. The Contractor has the right to refuse to provide services to the Client if the information provided by the Client when placing the order is incomplete or raises doubts as to its authenticity.
3.3. When placing an order on the Contractor’s website, the Client undertakes to provide the following mandatory information necessary for the Contractor to provide services:
3.3.1. surname, first name of the Client or name of the legal entity;
3.3.2. contact phone number and/or email address;
3.3.3. details of the legal entity or individual entrepreneur (if necessary);
3.3.4. other information necessary for the proper provision of legal and/or accounting services.
3.4. The name, content, scope, and cost of the legal and/or accounting services selected by the Client are determined based on the information posted on the Contractor’s website or agreed upon separately between the Client and the Contractor.
3.5. If either Party to the agreement requires additional information, it has the right to request it from the other Party. If the Client fails to provide the necessary information, the Contractor shall not be liable for the appropriateness and completeness of the services provided.
3.6. Acceptance of this Offer and the moment of conclusion of the Agreement shall be the payment by the Client for the legal and/or accounting services of the Contractor.
3.7. The Client shall be responsible for the accuracy of the information provided when placing an order.
3.8. By concluding the Agreement, i.e., accepting the terms of this offer by paying for legal and/or accounting services, the Client confirms the following:
a) The Client is fully and completely familiar with and agrees to the terms of this Offer;
b) The Client gives permission for the collection, processing, and transfer of personal data in accordance with the Law of Ukraine “On the Protection of Personal Data” for the purpose of fulfilling the terms of this Agreement, making mutual settlements, preparing invoices, acts, and other documents. The scope of the Client’s rights as a subject of personal data is known and understood by them.

4. Price and payment for services

4.1. Prices for legal and/or accounting services are determined by the Contractor independently and are indicated on the Contractor’s website. All prices for services are indicated on the website in hryvnia without VAT, since the Contractor is not a value-added tax payer.
4.2. Prices for legal and/or accounting services may be changed by the Contractor unilaterally depending on the scope of services, complexity, terms of service provision, or other circumstances. At the same time, the cost of services that has been paid in full by the Client cannot be changed by the Contractor unilaterally.
4.3. The cost of legal and/or accounting services specified on the Contractor’s website does not include possible additional expenses related to the performance of services, including state fees, payments to third parties, or other expenses, if any, incurred during the provision of services. Such expenses shall be paid by the Client separately.
4.4. The Contractor has the right to determine the individual cost of legal and/or accounting services depending on the volume, complexity, and other conditions of the services, which shall be communicated to the Client additionally.
4.5. The Contractor may inform the Client of the approximate or final cost of legal and/or accounting services when the Client makes a request by sending a letter by e-mail, a message via electronic means of communication, or during a telephone conversation.
4.6. The Client’s obligations to pay for legal and/or accounting services shall be deemed fulfilled from the moment the funds are credited to the Contractor’s account.
4.7. Settlements between the Contractor and the Client shall be made by the methods specified on the Contractor’s website or communicated to the Client additionally, including by non-cash transfer of funds to the Contractor’s bank account or through payment systems.
4.8. Legal and/or accounting services shall be deemed to have been provided properly from the moment of actual provision of advice, preparation of documents, or performance of other actions by the Contractor in accordance with the Client’s order.
4.9. The Client confirms that they have no claims regarding the scope and quality of the legal and/or accounting services provided if they have not submitted any written comments to the Contractor within a reasonable period after their provision.
4.10. The results of the provision of legal and/or accounting services, including prepared documents, consultations, or other materials, shall be deemed to have been transferred to the Client from the moment they are sent to the Client by electronic means of communication or by other agreed means.
4.11. Payment by the Client for legal and/or accounting services confirms the Client’s full and unconditional acceptance of the terms of this Agreement.

5. Rights and obligations of the Parties

5.1. The Contractor shall:
5.1.1. Provide the Client with legal and/or accounting services in accordance with the terms of this Agreement and the Client’s order.
5.1.2. Not disclose any private information about the Client and not provide access to this information to third parties, except as provided by law and when providing legal and/or accounting services to the Client.
5.2. The Contractor shall have the right to:
5.2.1. Unilaterally change the terms of this Agreement, as well as the prices for legal and/or accounting services, by posting them on the Contractor’s website. All changes shall take effect from the moment they are published on the website.
5.3. The Client undertakes:
5.3.1. To familiarize themselves with the content of this Agreement, the terms of service provision, and the prices offered by the Contractor on the Contractor’s website prior to the conclusion of the Agreement.
5.3.2. For the proper performance of the Contractor’s obligations, provide all necessary data that uniquely identifies the Client, as well as information necessary for the proper provision of legal and/or accounting services.
5.4. The Contractor has the right to refuse to provide legal and/or accounting services to the Client without explanation, including after receiving the Client’s request, but before payment for the services has been made.

6. Refunds and refusal of services

6.1. The Client has the right to refuse legal and/or accounting services before the Contractor begins providing them. If the Client refuses the services before they begin, the Contractor shall refund the Client the funds paid, except for the expenses actually incurred by the Contractor in preparation for providing the services.
6.2. If the legal and/or accounting services have actually been provided by the Contractor in whole or in part, the funds paid by the Client shall not be refunded.
6.3. Refunds, in cases provided for by this Agreement, shall be made by bank transfer to the Client’s account within a reasonable period of time in accordance with the current legislation of Ukraine.
6.4. Legal and/or accounting services shall be deemed to have been provided properly from the moment of:

  • providing advice to the Client;
  • preparing documents;
  • providing written or oral recommendations;
  • or performing other actions in accordance with the Client’s order.

6.5. The Contractor shall not be liable for the Client’s inability to use the results of the legal and/or accounting services provided if such services were provided properly in accordance with the terms of this Agreement.
6.6. The Contractor shall consider the Client’s complaints regarding the quality of the services provided, provided that the Client submits a relevant complaint and information necessary for considering such a complaint in accordance with the current legislation of Ukraine.
6.7. The Client agrees that legal and/or accounting services are individual and intangible, are provided taking into account the individual circumstances of the Client, and are non-refundable after they have been provided.
6.8. In cases provided for by this Agreement and the current legislation of Ukraine, requests for refunds may be sent to the Contractor using the contact details specified on the Contractor’s website.
6.9. Legal and/or accounting services are intangible in nature, are provided individually to the Client, and are the result of the Contractor’s intellectual activity. Such services are considered provided and accepted by the Client from the moment of their actual provision by the Contractor. After the provision of legal and/or accounting services, the funds paid by the Client are not subject to refund.

7. Liability

7.1. The Contractor shall not be liable for any loss or damage caused to the Client or third parties as a result of the Client’s use of the legal and/or accounting services provided or the Client’s decisions based on the advice or documents received.
7.2. The Contractor shall not be liable for improper or untimely performance of its obligations in the event that the Client provides inaccurate, incomplete, or false information necessary for the provision of legal and/or accounting services.
7.3. The Contractor and the Client shall be liable for the performance of their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.
7.4. The Contractor or the Client shall be exempt from liability for full or partial failure to fulfill their obligations if such failure is the result of force majeure circumstances, such as: war or military actions, earthquake, flood, fire, power or communication outages, actions of state authorities, and other circumstances of force majeure that arose independently of the will of the Parties after the conclusion of this Agreement. The Party that is unable to fulfill its obligations is obliged to immediately notify the other Party thereof.
7.5. The Contractor’s liability in any case shall be limited to the amount actually paid by the Client for the relevant legal and/or accounting services.
7.6. The Contractor does not guarantee or ensure the achievement of any specific result as a result of the provision of legal and/or accounting services, since the result depends on the actual circumstances of the case, the actions of third parties, and other factors beyond the Contractor’s control.
7.7. The Contractor shall not be liable for decisions made by the Client on the basis of the advice received or the documents prepared.

8. Confidentiality and protection of personal data

8.1. By providing your personal data on the Contractor’s website by filling out a feedback form or when ordering legal and/or accounting services, the Client gives the Contractor their voluntary consent to process, use (including transfer) their personal data, as well as to perform other actions provided for by the Law of Ukraine “On the Protection of Personal Data,” without limiting the term of such consent.
8.2. The Contractor undertakes not to disclose the information received from the Client. The provision of information by the Contractor to counterparties and third parties acting on the basis of an agreement with the Contractor, including for the proper provision of legal and/or accounting services to the Client, as well as in cases where the disclosure of such information is required by the current legislation of Ukraine, shall not be considered a violation.
8.3. The Client is responsible for keeping their personal data up to date. The Contractor shall not be liable for the improper or inability to provide legal and/or accounting services due to the outdated nature of the information provided by the Client or its inconsistency with reality.
8.4. The Client agrees that the exchange of information between the Parties may be carried out by means of electronic communication, including e-mail, telephone, messengers, or other means of communication specified on the Contractor’s website.

9. Other conditions

9.1. This agreement is concluded on the territory of Ukraine and is valid in accordance with the current legislation of Ukraine.
9.2. All disputes arising between the Client and the Contractor shall be resolved through negotiations. If the disputed issue cannot be resolved through negotiations, the Client and/or the Contractor shall have the right to refer the dispute to the judicial authorities in accordance with the current legislation of Ukraine.
9.3. The Contractor has the right to make changes to this Agreement unilaterally by posting a new version of the Agreement on the Contractor’s website. In addition, changes to the Agreement may also be made by mutual agreement of the Parties in accordance with the procedure provided for by the current legislation of Ukraine.
9.4. This Agreement is an electronic agreement and, in accordance with Articles 205, 207, 639, 641, 642 of the Civil Code of Ukraine, has full legal force without being signed in paper form.
